General terms and software license conditions governing your use of Orbit Cue.
1. Agreement to Terms & Provider Identification
These Terms of Service (“Terms”) constitute a legally binding agreement between you (“Customer”, “User”, or “you”) and Infinity Consciousness Europe SIA, a limited liability company organized and existing under the laws of the Republic of Latvia, registration number 50203642241, VAT number LV50203642241, having its registered office at Vēja iela 4 – 2, Ādaži, Ādažu novads, LV-2164, Latvia (“we”, “us”, or “Company”), trading as Orbit Cue.
By accessing or using our website (orbitcue.app / www.orbitcue.app), web applications, APIs, or Model Context Protocol (MCP) server endpoints, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not access or use Orbit Cue.
2. Description of SaaS Services
Orbit Cue is a cloud-based social operations workspace designed for multi-brand agencies and businesses. The service provides:
- Multi-brand workspaces with isolated assets, brand voice profiles, and member permissions.
- Social channel scheduling and direct API publishing across supported networks (Facebook Pages, Instagram Professional, LinkedIn, X, TikTok, YouTube, Pinterest, Google Business Profile).
- Deterministic wall-clock timezone scheduling with audit delivery logs and retry queues.
- Automated UTM campaign tracking and link sanitization.
- Native Model Context Protocol (MCP) server integration for AI agent interactions.
- Assisted 1-click web prefill and mobile web share handoff.
3. Payments, Billing & Merchant of Record (Paddle)
Merchant of Record Disclosure:
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. When purchasing an Orbit Cue one-time license or installment plan, your transaction is processed directly by Paddle.com Market Ltd (United Kingdom) or Paddle Payments Ltd (Ireland).
Taxes and VAT: Paddle is responsible for calculating, collecting, and remitting all applicable consumption taxes, Value Added Tax (VAT), and sales taxes according to the customer's geographic jurisdiction. European Union business customers providing a valid VAT ID will receive Reverse Charge treatment where applicable.
Invoicing: Invoices and payment receipts are issued directly by Paddle upon successful transaction completion. You can access and manage your billing history at any time via the Paddle billing portal.
4. Free Trial, One-Time Purchases & Installments
14-Day Free Trial: Orbit Cue offers a 14-day free trial of the full platform. No payment method is required to start your trial.
One-Time License & Installments: Orbit Cue is sold as a one-time purchase with perpetual access to the core product. Customers may choose to pay once or spread the one-time purchase price across a fixed 6-month installment plan. There are no recurring monthly subscription fees or automatic subscription renewals.

5. Customer Content & Intellectual Property
Ownership: You retain 100% of all rights, title, and ownership in all content, text, media, and brand assets that you create, upload, or schedule through Orbit Cue. We claim no intellectual property rights over your materials.
Limited License to Operate: You grant Orbit Cue a non-exclusive, worldwide license solely to transmit, format, store, and publish your content to your connected social channels as instructed by your workflow.
6. Social Media Platform Policies
When using Orbit Cue to publish content to external social channels, you agree to comply with the respective third-party terms of service and developer policies:

Orbit Cue is not liable for account suspensions, rate limiting, or removals executed by third-party social networks due to customer violations of platform community guidelines.
7. Limitation of Liability & Warranty Disclaimer
Orbit Cue is provided on an “as is” and “as available” basis. To the maximum extent permitted under applicable Latvian and European Union law, Infinity Consciousness Europe SIA disclaims all warranties, whether express or implied. In no event shall our total aggregate liability exceed the total amounts paid by you to Paddle for the service during the twelve (12) months preceding the incident.
8. Governing Law & Dispute Resolution
These Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of the Republic of Latvia. Any dispute arising out of or related to these Terms shall be subject to the exclusive jurisdiction of the competent courts of the Republic of Latvia.
